<h3>Wholesale Contract</h3>

All new customers are required to complete a wholesale agreement prior to shipment. The wholesale greement will be sent via DocuSign after the order is place.

<h3>Terms of Sale</h3>

1. Squishface products are to be exclusively sold in brick-and-mortar stores with physical property locations and are not to be sold on any online webstores/shops nor e-commerce channels including Amazon, Ebay, Walmart, retail seller&rsquo;s online sales website and/or any other third-party online marketplace. Breach of contract will result in immediate termination of partnership and possible legal action in the appropriate court of law.

2.&nbsp;It is our policy to sell at wholesale prices to qualified retail sellers.&nbsp;Retail Seller requirements include but are not limited to: a. Regular business hours of 20 or more hours per week b. A dedicated retail sales area at a physical &ldquo;brick and mortar&rdquo; property location or mobile grooming vehicle available to the general public during regularly scheduled business hours c. The stocking of physical product inventory that is available for sale d. Permitted by local authorities to collect sales tax

3. Retailers must adhere to MAP policy.

3. All shipments will remain pending until wholesale contract is signed and business verification has been completed.

4. We reserve the right to cancel any order for any reason.

We believe in the value of our products and set&nbsp;our MSRP to protect our brand and support you.&nbsp;Our minimum advertised price (MAP) is&nbsp;approximately 15% off our MSRP.

By signing up&nbsp;as a retailer, you agree not to advertise prices&nbsp;lower than 15% off MSRP on any selling&nbsp;platform, including brick/mortar and online.&nbsp;Retailers who fail to comply will be issued one&nbsp;warning. If pricing is not corrected within 48&nbsp;hours, a hold will be placed on your account&nbsp;until pricing is corrected.

Squishface regularly&nbsp;monitors their retailers directly and via the use&nbsp;of third-party agencies.&nbsp;Retailer may establish their own resale prices -&nbsp;violations occur when the advertised price is less&nbsp;than stated MAP.

We reserve the right to update our prices at any&nbsp;time, although we work hard to maintain&nbsp;competitive pricing for our customers and make&nbsp;increases only when necessary.

<h3>Shipping</h3>

We typically ship orders within 3 business days&nbsp;via UPS&nbsp;Ground with Insurance &amp; Signature, but will&nbsp;select the most&nbsp;cost-effective freight option&nbsp;when possible.&nbsp;
